ARTICLE I NAME OF ORGANIZATION
The name of the
organization shall be:
Delmarvalous Quilter’s
Chapter of the National Quilting Association, Inc., Chapter 203.
ARTICLE II AUTHORIZATION
The Delmarvalous
Quilter’s Chapter was chartered by the National Quilting Association, Inc.,
March 29, 1983.
ARTICLE III PURPOSE. The organization is
organized exclusively for charitable, religious, educational, and scientific
purposes under section 501c(3) of the Internal Revenue Code, or corresponding
section of any future federal tax code.
No part of the net earnings of the organization
shall inure to the benefit of, or be distributable to its members, trustees,
officers or other private persons except that the organization shall be
authorized and empowered to pay reasonable compensation for services rendered
and to make payments and distributions in furtherance of the purposes describe
in section 501c(3). No substantial part
of the activities of the organization shall be the carrying on of propaganda,
or otherwise attempting to influence legislation, and the organization shall not
participate in, or intervene in (including the publishing or distribution of
statements) any political campaign on behalf of or in opposition to any
candidate for public office.
Notwithstanding any other provision of these articles, the organization
shall not carry on any other activities not permitted to be carried on (1) by
an organization exempt from federal income tax under section 501c(3) of the
Internal Revenue Code or the corresponding section of any future federal tax
code, or (b) by an organization, contributions to which are deductible under
section 170(c)(2) of the Internal Revenue Code, or the corresponding section of
any future federal tax code.
Upon the dissolution of this organization, assets
shall be distributed for one or more exempt purposes within the meaning of
section (501c(3) of the Internal Revenue Code, or corresponding section of any
future federal tax code, or shall be distributed to the federal government, or
to a state or local government, for a public purpose. Amended June 25, 2015.
ARTICLE IV MEMBERS
Section
1 The Delmarvalous Quilter’s
Chapter shall consist of any person who has paid guild dues for the current
fiscal year. The current fiscal year of the Delmarvalous Quilter’s Chapter
shall be the time period between August 1 and July 31. (As amended October

Section
2 Guests may attend two (2)
meetings; thereafter, they must join before they may attend additional
meetings.
ARTICLE V DUES
Section
1 The Delmarvalous Quilter’s
Chapter shall assess dues and they shall not be assessed for the purpose of
building up a treasury.
Section
2 Chapter dues are to be used only
for the purpose of administration of the Chapter, such as, but not limited to:

Publishing a newsletter
b.
Office Supplies f.
Workshops & programs
c.
Reimbursing long-distance g.
Library
phone calls h. Audit
d.
Speakers
Section 3 Annual dues, amount to be determined by the Board of
Directors and approved by the Guild, will be due beginning with the August
meeting of each year to coincide with the fiscal year August 1 to July 31. A
new member joining will pay one half the amount if they join any time February
through May and membership will be free if they join from June through July. A member
aged 80 and over who has been a member of the Guild for 5 years will become a
Life Member and will no longer pay dues.

ARTICLE VI OFFICERS
Section
1 Officers of the Delmarvalous
Quilter’s Chapter shall be:
President, Vice-President(s),
Corresponding Secretary, Recording Secretary and Treasurer. (As amended October

The Executive Board of
Delmarvalous Quilters shall consist of:
President,
Vice-President(s), Corresponding Secretary, Recording Secretary, Treasurer,
immediate Past President, Chairpersons of Standing Committees, and any
additional officers as such need arises. (As amended October 2022.)
Section
2 Officers shall serve without
compensation. Expenses may be reimbursed with the approval of the Executive
Board.
Section
3 Officers shall serve one-year
terms and may succeed themselves in the same office for one term.
Section
4 A nominating committee shall be
appointed by the President no later than March of each year. Members willing to
serve as an officer should let the nominating committee know of such interest.
A slate of candidates shall be presented to the membership at the April meeting
with additional nominations from the floor. Voting shall be by secret ballot if
more than one nominee. Term of office shall commence after the June meeting.
Section
5 The President shall preside at
all meetings and shall perform such duties as required under parliamentary
procedures and the by-laws of the Chapter. The President may delegate
responsibilities.
Section
6 The Vice-President(s) shall
perform all duties of the President in the absence or inability of the
President to so perform. By virtue of position the Vice-President (s) shall be chairperson
of the Program committee and appoint two people to assist. (As amended October

Section
7 When an office becomes vacant,
it shall be filled by a recommendation of the President, subject to the
approval of a majority of the Executive Board.
Section
8 The Corresponding Secretary will
work closely with the President and shall be responsible for Chapter
correspondence.
Section
9 The Recording Secretary shall be
responsible for taking minutes at meetings and transmitting a copy of the
minutes to the newsletter chairperson within two (2) weeks after the meeting.
Section
10 The Treasurer shall be
responsible for receiving and dispersing all Chapter monies, and at each business
meeting shall report, or have someone report for her, the total forwarded,
total expenditures for the month, total receipts for the month and the current
balance. She shall also submit a written report to the newsletter chairperson
for publication in the monthly newsletter. She shall be responsible for the tax
papers required for the Chapter; a professional tax person may be hired on a
temporary basis for this purpose once a year at tax time, if necessary. The
Treasurer shall be responsible for maintaining an on-going ledger and an
updated membership list. The Treasurer shall submit the financial books and
records for an annual audit after the close of the fiscal year on July 31 or at
any such time as deemed necessary. A copy shall be published in the newsletter.
ARTICLE VII PROGRAMS
Section
1 Programs should in some way be
related to quilt making; however, unrelated programs may be offered when there
is sufficient interest by members.
Section
2 The entire membership of the
Chapter should be encouraged to participate in programs as instructors,
speakers, reporters, etc., as well as students or participants.
Section
3 The membership is encouraged to
bring “show and tell” to meetings and to share their quilt related experiences
with other members. Members are encouraged to share news of quilt related
events happening anywhere.
Section
4 Only members who have registered
and paid for a workshop may participate in that workshop. When there are still
openings in a workshop after all members have been given an opportunity to
register, registration may be opened to the public.
Section
5 Registration for workshops shall
be in writing and paid for at the time of registration. The instructor may
limit the number of registrations and refunds will be made only when that
number has been exceeded. Registrations are transferrable.
Section
6 In the event that committed cost
of program and workshop are not sufficiently funded, the guild will subsidize
the shortfall.
ARTICLE IX COMMITTEES
Section
1 Ad hoc committees may be
established at the discretion of the President.

Section 3 The
Block Collection committee shall be responsible for collection from
members
and other sources a collection of quilt blocks to be used as a “lending library” for members for preparing the blocks for display
at quilt shows and meetings
when so requested.
Section 4 The
Program chairperson and her committee shall be responsible for contracting with
quilt-making instructors to offer workshops to the members. When possible, the workshops shall be
coordinated with the meeting program in order to combine travel expenses of the
instructor. Workshops should, if possible, be self- supporting. Officers and
members of the Chapter shall be paid for instructing workshops. The amount shall be determined
by the instructor and the Program chairperson.
Section
5 The Historian shall be
responsible for maintaining a history of the Chapter,
including minutes of the
meetings. Quilt Show programs, newspaper clippings,
snapshot albums, yearly
list of the Officers and any other items of interest.
Section
6 The Newsletter Committee shall be
responsible for publishing a Chapter
newsletter that may
include among other things, a quilt pattern, notices of quilt
events, profiles of
members, reports of committees, and other items of interest. A
limited amount of
space, not to exceed one-quarter of the newsletter, may be used
for quilt related advertising by members or
others to help cover the cost of
publication.
Section 7 The
Budget Committee shall consist of the President, Vice-President (Program
Chairperson),
Treasurer and two appointed members. The committee shall select its own chairperson.
The Budget committee shall be responsible for money being allocated to, but not
limited to, standing committees for yearly events, newsletter, program, audit,
special events, library, workshops. The Budget committee shall submit the same
to the membership at the July meeting.
Section 8 A.
Each chairperson of a standing or ad
hoc committee shall submit the
committee’s budget for the ensuing year.
B. Each chairperson shall submit the recommended budget to the
Executive
Board by April 1 for the fiscal year beginning August
1. The budget, as
approved
by the Executive Board, shall be printed in the August newsletter.

X RULES OF ORDER
Robert’s
Rules of Order shall be used as the basis for procedures at all meetings.

ARTICLE XII DONATIONS
Section
1 At the death of a member in good
standing, a book, periodical, or other source relating to quilting, in an amount to be
determined by the Board of Directors and
approved by the guild shall be donated in memory of the deceased member, to a public
library in the town nearest the member’s residence. The family shall be
notified of the memorial donation. (As amended October 2022.)
Section 2 An annual donation of a minimum of
$250, amount determined at the discretion of the Board shall be made to the Sussex County 4-H Chapter
to be used at their discretion. This donation shall be paid in July. (As amended October 2022.)
ARTICLE XIII AMENDING THE BY-LAWS
Proposed
amendments to the By-Laws shall be read at two (2) meetings and be
adopted by a two-thirds
(2/3) vote of the members present following the second reading.
